Sales and delivery terms GENERAL Below terms are to be adhered to by both parties unless otherwise agreed to in writing. The terms are accepted by both parties by accept of offer. PRICES All prices are excl. VAT and are subject to rises in costs on materials and possible government laws, unless otherwise stated. If prices are guaranteed they are only valid for as long as the agreement confirms i.e. the contract of agreement or quotation. QUOTATION Only written quotations are binding. All quotations are with reservations to whether goods are being sold on to a 3rd party and are valid for 30 days from date on the written quotation. If buyer requires specifics, which is not included in suppliers materials / documentation, these have to be agreed upon and confirmed in writing. OWNERSHIP The goods / products remain the property of supplier until goods have been fully paid for. THE ORDER A purchase is final, once supplier in writing has confirmed the order. Thereafter the order cannot be cancelled, changed or delayed by buyer, without written acceptance from supplier and only then against cash payment of order and will then be stored at buyers cost and risk. Delivery time will be confirmed at time of written confirmation of the order and based on buyers specifics at the time of acceptance of quotation. Delays in delivery do not give buyer the right to cancel the order unless agreed to in writing between buyer and supplier. If delay in delivery is due to a circumstance of buyers the date of delivery can be postponed at supplier’s discretion. DELIVERY All deliveries are EX Works suppliers premises. Shipments are at buyers expense and risk. FORCE MAJEURE Supplier cannot be held liable or accountable for changes in the above due to Force Majeure, war, public riots, government restrictions, fires, strikes, lockouts, import or export restrictions, missing items or delays from manufacturer, accidents or accidental damage during transport to suppliers premises. DISCREPTIANCIES Supplier vouch as per below that the goods are of normal good quality with regards to materials, tolerances and manufacturing. Should you within a year be able to prove / show that goods were delivered defective and/or faulty supplier will undertake, at suppliers own discretion either, without cost for buyer to exchange the defective and/or faulty goods or credit buyer against returning the defective and/or faulty goods to supplier. The above are although on the condition that within 5 days of receiving the goods that supplier is notified in writing about the defects / faults. Supplier cannot be held responsible for defects / faults due to the mishandling, transport, storage, assembling or in any other way neglect by other parties or for unusual or normal wear and tear. PAYMENT Payment terms are shown on the order confirmation. Unless otherwise agreed they are as follows; Cash payment within 8 days of date of invoice. If payment is late 2% interest will be added per month. If buyer’s solvency after the confirmation of order is estimated by supplier as having deteriorated, or supplier cannot obtain debtor insurance at time of delivery, cash payment or security for payment will be required. Returning of the procuct PRODUCT RESPONSIBILITY If a product delivered by supplier cause injury to a person due to a defect to the product, supplier is only responsible to the extent, that liability through principle of law can be imposed. Supplier cannot be held responsible for damages to buyers or 3rd party’s property due to defects / faults of the delivered product, for property that is for commercial use. Supplier cannot be liable for loss of production, time loss, loss of profits or any other indirect loss to buyer or 3rd party. Supplier renounces any responsibility for products, where buyer includes his own materials/products and materials/products where buyer includes supplier’s products, unless the damage can be directly linked with supplier’s goods. In case supplier should be held liable by 3rd party as a result of product(s) delivered to buyer, buyer is legally obliged to indemnify supplier to the extent of the above limited liability by supplier. |
